Terms and Conditions

These Terms and Conditions ("Terms") govern your use of Scooty ERP, provided by [Company Legal Name] ("we", "us"). By creating an account, you agree to these Terms.

1. The Service

Scooty ERP is a subscription-based, multi-tenant software service for managing scooter dealership operations — inventory, sales, purchases, service, accounts, and related functions — accessed via a web browser at your dedicated showroom URL.

2. Accounts & eligibility

You must provide accurate business information when signing up. You are responsible for all activity under your account, including actions taken by staff accounts you create. Keep your login credentials confidential; notify us immediately if you suspect unauthorized access.

3. Subscription plans & billing

• Scooty ERP is offered on a subscription basis with multiple plan tiers, each with defined limits on the number of branches, staff users, and scooter models you may have active at one time
• Subscription payments are made via UPI. You submit a transaction reference (UTR) and optional payment proof through the Billing page; we manually verify and confirm each payment, typically within [a few hours / one business day]
• Your subscription is extended from the later of your current expiry date or the date of confirmation, for the billing cycle length of your selected plan
• All fees are non-refundable except where required by law, or at our discretion in cases of billing error
• We may change subscription pricing with [30] days' notice to existing customers before the change applies to their next renewal

4. What happens if you don't renew

If your subscription is not renewed by its expiry date, your account status changes to "Expired" and access to the Service is paused. Your data is not deleted for non-payment; access resumes automatically once a payment is confirmed.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or to store data you do not have the right to collect (including your End Customers' personal data)
• Attempt to access another dealership's data, probe, scan, or test the vulnerability of the Service, or interfere with its normal operation
• Reverse-engineer, resell, sublicense, or white-label the Service without our written permission
• Use the public customer-tracking page or any part of the Service to harass, spam, or mislead anyone

6. Your data & content

You retain ownership of all business and customer data you enter into Scooty ERP. You grant us a limited license to host, process, and display that data solely for the purpose of providing the Service to you. See our Privacy Policy for how this data is handled.

7. Service availability

We aim for high uptime but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where practical. We are not liable for downtime caused by circumstances outside our reasonable control (hosting provider outages, internet infrastructure failures, force majeure events).

8. Limitation of liability

To the maximum extent permitted by law, [Company Legal Name] is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including loss of profits, business interruption, or data loss beyond our reasonable control. Our total liability for any claim is limited to the subscription fees you paid us in the [3 / 6] months preceding the claim.

You are solely responsible for the accuracy of business-critical data you enter — pricing, tax rates (GST), insurance dates, and financial records — and for independently verifying figures the Service calculates (such as cash-book totals) before relying on them for statutory filings.

9. Intellectual property

The Scooty ERP software, design, and branding are the property of [Company Legal Name]. Nothing in these Terms transfers ownership of the software to you — you receive a right to use it under an active subscription, not a license to copy or redistribute it.

10. Termination

You may stop using the Service and let your subscription lapse at any time. We may suspend or terminate an account that violates these Terms, engages in fraudulent payment submissions, or poses a security risk to other customers, with notice where practical.

11. Governing law

These Terms are governed by the laws of India, and any dispute will be subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal.

12. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms. Material changes will be communicated via [email / an in-app notice].
